End User License Agreement

Effective: May 19, 2026

This End User License Agreement (“EULA”) is a legal agreement between you (the “Franchisee” or “User”) and Mobility Plus IP LLC (“Mobility Plus,” “Licensor”) regarding your use of the MP Connect software application (the “Software”).

By authorizing the Software via Intuit OAuth or by signing in to the MP Connect administrative dashboard, you agree to this EULA. If you do not agree, do not use the Software.

1. License grant

Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for:

• Authorizing Mobility Plus to read financial data from your QuickBooks Online company file for franchise reporting purposes, OR
• If you are an authorized Mobility Plus administrator: running reports against authorized franchisee company files for franchise reporting and oversight purposes

2. Restrictions

You may not:

• Copy, modify, adapt, translate, or create derivative works of the Software
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• Sublicense, rent, lease, sell, or otherwise distribute the Software
• Use the Software for any purpose other than its intended use under your franchise relationship with Mobility Plus
• Use the Software to access, view, or attempt to access data belonging to any company file you are not authorized to access
• Use the Software in violation of any applicable law or regulation
• Use the Software in a manner that could disable, overburden, or impair the Software or interfere with any other party’s use of it

3. Ownership

The Software, including all source code, design, documentation, and related intellectual property rights, is and remains the exclusive property of Mobility Plus IP LLC. This EULA does not transfer any ownership rights to you.

4. Data ownership

You retain all rights to the QuickBooks Online data in your company file. The Software does not claim ownership of your underlying financial data; it merely provides authorized read access to that data on behalf of Mobility Plus Corporate as required by your franchise agreement.

5. Updates and modifications

Licensor may update or modify the Software at any time, including introducing new features, removing existing features, or changing how it behaves. Continued use of the Software after updates constitutes acceptance of those updates.

6. Termination

This license terminates automatically without notice upon the earliest of:

• Termination of your franchise relationship with Mobility Plus
• Disconnection of the Software from your QuickBooks Online account
• Your violation of this EULA or the Terms of Service
• Termination of the Service by Licensor or Mobility Plus

Upon termination, your right to use the Software ceases immediately. You must stop using the Software and may revoke its access to your QBO account if you have not already done so.

7. Disclaimer of warranty

THE SOFTWARE IS LICENSED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of liability

SEE THE ACCOMPANYING TERMS OF SERVICE FOR LIMITATIONS ON LIABILITY THAT APPLY TO YOUR USE OF THE SOFTWARE.

9. Governing law

This EULA is governed by the laws of the state in which Licensor is organized, without regard to conflict of laws principles.

10. Entire agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Licensor regarding the Software, and supersedes any prior or contemporaneous communications.
